By accessing or using the CedarAI platform (the "Service"), operated by Diamond Tier Agency, doing business as CedarAI ("Diamond Tier Agency," "CedarAI," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including agents, teams, brokerages, and any other visitors or users of the platform.

CedarAI provides an AI-powered platform for real estate professionals that includes property data intelligence, contact discovery, lead scoring, automated outreach (SMS, email, voice), pipeline management, and related tools. The Service is designed to assist real estate agents, teams, investors, and brokerages in their prospecting and client engagement efforts. The SMS text messaging operated by Diamond Tier Agency under this website's A2P messaging registration is limited to the customer-care program described in Section 5; any messages you send to your own contacts through the platform's outreach tools are governed by Section 6 and are sent under your own consent and messaging registration.

To use certain features of the Service, you must create an account. You agree to: • Provide accurate, current, and complete information during registration. • Maintain and promptly update your account information. • Keep your password confidential and not share your account credentials. • Notify us immediately of any unauthorized use of your account. • Be responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations, including but not limited to: • **TCPA Compliance:** You will comply with the Telephone Consumer Protection Act and obtain proper consent before sending automated messages or making automated calls through the platform. • **DNC Lists:** You will honor Do Not Call registries and maintain your own internal DNC lists as required by law. • **Fair Housing Act:** You will not use the Service to discriminate against any person based on race, color, religion, sex, national origin, familial status, disability, or any other protected class. • **CAN-SPAM Act:** You will comply with all email marketing regulations, including providing opt-out mechanisms. • **State Regulations:** You will comply with all applicable state and local real estate licensing laws and regulations. You agree NOT to: • Use the Service for any illegal or unauthorized purpose. • Send spam, unsolicited messages, or messages to individuals who have opted out. • Attempt to gain unauthorized access to the Service or related systems. • Interfere with or disrupt the Service or servers or networks connected to the Service. • Scrape, harvest, or collect information from the Service without authorization. • Resell, redistribute, or sublicense access to the Service without written permission.

CedarAI, a service operated by Diamond Tier Agency, offers a text messaging program that sends customer care and account notification messages — such as inquiry follow-ups, demo scheduling confirmations, appointment reminders, and account or service updates — to individuals who opt in through Diamond Tier Agency's own web form at cedarhomeagent.com/contact. This is a transactional and customer-care program only; it does not send marketing or promotional messages, and opt-in data is never shared with or sold to any third parties or affiliates. By opting in, you agree to the following: • **Message Frequency:** Message frequency varies based on your account activity and preferences, and will not exceed 10 messages per month. • **Costs:** Message and data rates may apply. Contact your mobile carrier for details about your plan. • **Opt-Out:** You can cancel the SMS service at any time by replying STOP to any message. After you send STOP, we will send a one-time confirmation message and you will no longer receive SMS messages from us. To rejoin, sign up again through our website or reply START. • **Help:** If you experience issues with the messaging program, reply HELP to any message or contact us directly at hello@cedarhomeagent.com. • **Carriers:** Carriers are not liable for delayed or undelivered messages. • **Consent:** Consent to receive text messages is not a condition of any purchase. • **Privacy:** See our Privacy Policy at cedarhomeagent.com/privacy for how we handle your information. Text messaging originator opt-in data and consent will not be shared with any third parties.

The customer-care text messaging program described in Section 5 is operated by Diamond Tier Agency and sends only transactional and service messages to people who opted in through our own web form. That program is separate from the tools described below. Separately, the Service provides tools that enable you, the user, to send your own communications (SMS, MMS, email, and voice calls) to your own contacts. Any messages you send using these tools are sent under your own consent, compliance obligations, and — where required — your own messaging registration, not under Diamond Tier Agency's messaging registration. By using these features, you acknowledge and agree: • You are solely responsible for obtaining proper consent from recipients before sending communications. • You will maintain records of consent as required by applicable law. • You will honor opt-out requests promptly (within the timeframes required by law). • You will not send messages with misleading, deceptive, or false content. • CedarAI provides tools to help with compliance but does not guarantee legal compliance — you are ultimately responsible for your messaging practices. • Message delivery is dependent on carrier networks and cannot be guaranteed.

Certain features of the Service require payment of fees. By subscribing to a paid plan: • You agree to pay all fees associated with your selected plan. • Fees are based on a per-seat model with usage-based components as described on our pricing page. • We may change our fees upon 30 days' advance notice. • All fees are non-refundable except as required by law or as stated in these Terms. • If payment fails, we may suspend access to paid features until payment is received.

The Service, including its content, features, and functionality, is owned by Diamond Tier Agency and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without written permission. Any data you input into the Service remains your property. You grant CedarAI a limited license to use your data solely to provide and improve the Service.

Your use of the Service is also governed by our Privacy Policy, available at cedarhomeagent.com/privacy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy. You are responsible for the data you upload to or generate through the Service, including ensuring you have the right to use and process such data.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CedarAI does not warrant that: • The Service will be uninterrupted, secure, or error-free. • Property data, contact information, or lead scores will be accurate or complete. • AI-generated content or recommendations will be suitable for your specific needs. • The Service will meet all of your requirements. CedarAI is a technology platform and does not provide legal, real estate, or financial advice. You should consult appropriate professionals for such advice.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIAMOND TIER AGENCY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE. Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.
