By accessing or using the CedarAI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including agents, teams, brokerages, and any other visitors or users of the platform.

CedarAI provides an AI-powered platform for real estate professionals that includes property data intelligence, contact discovery, lead scoring, automated outreach (SMS, email, voice), pipeline management, and related tools. The Service is designed to assist real estate agents, teams, investors, and brokerages in their prospecting and client engagement efforts.

To use certain features of the Service, you must create an account. You agree to: • Provide accurate, current, and complete information during registration. • Maintain and promptly update your account information. • Keep your password confidential and not share your account credentials. • Notify us immediately of any unauthorized use of your account. • Be responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations, including but not limited to: • **TCPA Compliance:** You will comply with the Telephone Consumer Protection Act and obtain proper consent before sending automated messages or making automated calls through the platform. • **DNC Lists:** You will honor Do Not Call registries and maintain your own internal DNC lists as required by law. • **Fair Housing Act:** You will not use the Service to discriminate against any person based on race, color, religion, sex, national origin, familial status, disability, or any other protected class. • **CAN-SPAM Act:** You will comply with all email marketing regulations, including providing opt-out mechanisms. • **State Regulations:** You will comply with all applicable state and local real estate licensing laws and regulations. You agree NOT to: • Use the Service for any illegal or unauthorized purpose. • Send spam, unsolicited messages, or messages to individuals who have opted out. • Attempt to gain unauthorized access to the Service or related systems. • Interfere with or disrupt the Service or servers or networks connected to the Service. • Scrape, harvest, or collect information from the Service without authorization. • Resell, redistribute, or sublicense access to the Service without written permission.

The Service enables you to send communications (SMS, MMS, email, and voice calls) to contacts. By using these features, you acknowledge and agree: • You are solely responsible for obtaining proper consent from recipients before sending communications. • You will maintain records of consent as required by applicable law. • You will honor opt-out requests promptly (within the timeframes required by law). • You will not send messages with misleading, deceptive, or false content. • CedarAI provides tools to help with compliance but does not guarantee legal compliance — you are ultimately responsible for your messaging practices. • Message delivery is dependent on carrier networks and cannot be guaranteed.

Certain features of the Service require payment of fees. By subscribing to a paid plan: • You agree to pay all fees associated with your selected plan. • Fees are based on a per-seat model with usage-based components as described on our pricing page. • We may change our fees upon 30 days' advance notice. • All fees are non-refundable except as required by law or as stated in these Terms. • If payment fails, we may suspend access to paid features until payment is received.

The Service, including its content, features, and functionality, is owned by CedarAI and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without written permission. Any data you input into the Service remains your property. You grant CedarAI a limited license to use your data solely to provide and improve the Service.

Your use of the Service is also governed by our Privacy Policy, available at cedarhomeagent.com/privacy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy. You are responsible for the data you upload to or generate through the Service, including ensuring you have the right to use and process such data.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CedarAI does not warrant that: • The Service will be uninterrupted, secure, or error-free. • Property data, contact information, or lead scores will be accurate or complete. • AI-generated content or recommendations will be suitable for your specific needs. • The Service will meet all of your requirements. CedarAI is a technology platform and does not provide legal, real estate, or financial advice. You should consult appropriate professionals for such advice.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE. Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.
